End User Licence Agreement
(EULA)
This End User License Agreement (“Agreement”) is a legal agreement between Survaigo Ltd, a company registered in England and Wales with the company number 16450008 and its registered address at 23 Greenfields Avenue, Alton, GU34 2ED (“Survaigo”, “we”, “us”, or “our”) and the entity (“Customer”, “you”, or “your”) on whose behalf this Agreement is accepted.
By accessing or using Survaigo (“Software”), you confirm that you are authorised to act on behalf of the Customer and agree to be bound by this Agreement.
1. License Grant
We grant you a non-exclusive, non-transferable, revocable license to use Survaigo in the United Kingdom, solely for your internal business purposes relating to surveyor case management, report creation, and scheduling.
2. Beta Software
Survaigo is currently offered as a Beta release. Functionality may change, and bugs or downtime may occur. You are entitled to a limited number of free survey submissions as part of the Beta trial. Further usage will be billed per survey.
3. Restrictions
You agree that you will not:
- Reverse-engineer, decompile, or disassemble the Software;
- Share login credentials or allow unauthorised third parties to access the Software;
- Sell, lease, or sublicense the Software to others;
- Use the Software outside the UK without written consent;
- Disclose or share information about the Software, its features, interface, or operations with competitors of Survaigo.
4. Ownership and Intellectual Property
Survaigo retains all rights, title, and interest in and to the Software, including all templates, report formats, and documentation. No rights are granted except as explicitly stated.
Documents, data, and images uploaded by you remain your property. You grant Survaigo a license to use this data for providing services and improving the platform.
5. Confidentiality
You agree to keep confidential all non-public information about the Software, including its functionality, design, and documentation. You must not share, distribute, or publicly discuss details of the platform with any competitors of Survaigo.
6. Billing and Payment
You will be billed per survey completed, on 30-day payment terms. Invoices will be issued ad hoc. Refunds are at Survaigo’s discretion and only in cases where the Software did not deliver functionality as described.
7. Data and Privacy
Survaigo collects data on platform usage and may use customer-submitted data to improve the product. A separate Privacy Policy governs data handling and GDPR compliance and will be made available.
8. Availability and Support
We aim for 99.5% uptime and will use commercially reasonable efforts to maintain availability. However, we do not guarantee uninterrupted service or accept liability for downtime or data loss.
9. Termination
This Agreement may be terminated by either party for material breach. Upon termination:
- Your access to the Software will cease;
- You may request a copy of your data;
- All terms intended to survive termination will remain in effect (e.g., confidentiality, IP rights).
10. Governing Law and Dispute Resolution
This Agreement is governed by the laws of England and Wales. Disputes will first be resolved through binding arbitration, followed by recourse to the courts of England and Wales if necessary.
